Be sure to give these Terms of Service & Use a thorough read, as they are a binding agreement between you, us, and any company you represent or identify as a user when you create an account. Depending on where your company and users are located (plus other factors), strict laws may apply that dictate what kind of messages you are allowed to send, whether and how recipients need to consent before you contact them, and more. We think it’s smart to get professional legal advice before communicating with your audience using our services. These Terms of Service & Use (the “Terms” or this “Agreement”) govern access to and use of Pidj.co’s services, including our website(s), software, application programming interfaces (APIs), mobile/desktop applications, related tools and technologies, documentation, and all associated proprietary information and materials (collectively, the “Services” or “Company Properties”).
By (i) visiting, reviewing, using or accessing our website; (ii) clicking “I Accept” (or similar) or executing an order form, online checkout, or similar agreement that references these Terms (each, an “Order Form”); or (iii) otherwise using the Services, you agree to be bound by these Terms on behalf of yourself and, as applicable, the company or organization you represent (“Customer,” “you,” or “your”). You represent that you have authority to bind that organization. If you do not agree to these Terms, do not access or use the Services.
Important: THESE TERMS CONTAIN A WAIVER OF JURY TRIAL AND A CLASS ACTION WAIVER. IN SOME JURISDICTIONS, SUCH WAIVERS MAY BE UNENFORCEABLE; IN THAT CASE, THIS CLAUSE HAS NO EFFECT, AND THE REMAINING PROVISIONS SURVIVE.
1. Eligibility & Accounts
1.1 Eligibility. You must be at least thirteen (13) years old, of legal age to form a binding contract, and not barred from using the Services under applicable law.
1.2 Account Registration. To access certain features you must create an account (an “Account”). You agree to provide true, accurate, current, and complete information and keep it updated. You are responsible for all use under your Account, including acts and omissions of anyone who accesses the Services under your Account.
1.3 Administrative & User Logins. Depending on your plan, you may create administrative logins and additional user logins (each, a “User Login”). User Logins are for a single individual and may not be shared. You are responsible for all activities under User Logins.
1.4 Security. Maintain commercially reasonable safeguards to prevent unauthorized access. Notify us promptly of any unauthorized access or use at support@pidj.co. We are not responsible for loss or damage arising from unauthorized use of your Account.
1.5 No Property Interest. You acknowledge you have no ownership or property interest in your Account; all rights in and to Accounts are owned by Pidj.co.
2. Changes to These Terms; Changes to the Services
2.1 Updates to Terms. We may update these Terms from time to time. For material changes, we will provide notice (e.g., by email, in‑product notice, or posting on our site). The updated Terms will be effective on the date stated in the notice. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services before the effective date.
2.2 Service Modifications. We continually improve our Services and may add, change, or discontinue features or functionality. We may also make commercially reasonable modifications to technical limits (e.g., rate limits, storage, file size), and may require you to update third‑party software to continue use. Where discontinuation of a material feature adversely affects your current use, we will provide notice when practical.
3. Access & Use; Acceptable Use; Compliance
3.1 License. Subject to these Terms and your Order Form, Pidj.co grants you a limited, non‑exclusive, non‑transferable (except as expressly allowed), non‑sublicensable right to access and use the Services during your subscription term solely for your business purposes.
3.2 Acceptable Use. Your use must comply with our Acceptable Use Policy (AUP) (incorporated by reference) and all Applicable Laws (including, without limitation, the U.S. Telephone Consumer Protection Act (TCPA), the Controlling the Assault of Non‑Solicited Pornography and Marketing Act (CAN‑SPAM), Canada’s Anti‑Spam Legislation (CASL), applicable privacy/data protection laws, industry guidelines, and carrier/aggregator policies). You are solely responsible for obtaining valid consents and providing required disclosures to recipients.
3.3 API Limits. We may set and adjust limits on API calls, throughput, file size, storage, processing capacity, and similar technical parameters. We may use technical measures to prevent or stop over‑usage.
3.4 Compliance with Numbers. You represent and warrant that you have authority to use any phone numbers you register or associate with your Account, and will execute any additional documents reasonably required to evidence such authority.
3.5 Fair Use & Abuse Protection. We may throttle, suspend, or terminate access where usage materially exceeds typical or permissible levels, degrades the Services, or violates the AUP or Applicable Law.
4. Your Content & Data; Privacy
4.1 Your Content. “Your Content” means content you submit to or through the Services (e.g., messages, media, audio recordings). You grant Pidj.co a worldwide, royalty‑free license to host, use, reproduce, transmit, display, and distribute Your Content as needed to operate and provide the Services and support you, and to improve the Services in de‑identified or aggregated form. You represent and warrant that you have all rights necessary to grant this license and that Your Content and use of the Services will not violate law or infringe rights of others.
4.2 Privacy. Our collection, use, and disclosure of personal data is described in our Privacy Policy available at https://www.pidj.co/privacy (or successor URL). If you do not agree, do not use the Services.
4.3 Access/Disclosure. We may access or disclose data (including message content stored on our systems) where we believe it is reasonably necessary to comply with law or lawful process; enforce our agreements and policies; protect the security or integrity of the Services; protect ourselves, customers, or the public from harm or illegal activities; or respond to an emergency to prevent death or serious bodily injury.
4.4 Storage & Deletion. Data storage is not guaranteed. Except as otherwise agreed in writing, we may periodically delete data. We have no liability for deletion, loss, or inability to retrieve data.
5. Intellectual Property; Third‑Party Technologies
5.1 Ownership. As between you and Pidj.co, Pidj.co and its licensors own all right, title, and interest in and to the Company Properties and all related intellectual property rights. The Company Properties are licensed, not sold. Except for the limited rights expressly granted, no rights are granted by implication or otherwise.
5.2 Marks. Pidj.co’s names, logos, and trademarks are the property of Pidj.co. Other marks belong to their respective owners. You may not use any Pidj.co marks without our prior written consent.
5.3 Third‑Party Technologies. We may use third‑party providers and technologies (e.g., hosting, security, spam filtering, carriers, aggregators). No rights in third‑party technologies are granted except as necessary to use the Services.
5.4 Feedback. If you provide feedback, ideas, or suggestions, you grant Pidj.co a perpetual, irrevocable, worldwide, royalty‑free, sublicensable license to use and exploit such feedback without restriction.
6. Restrictions
You will not: (a) allow any third party to access the Services except as permitted herein or in an Order Form; (b) create derivative works of the Services; (c) copy, frame, or mirror any part or content of the Services (except for your internal use); (d) reverse engineer the Services to the extent prohibited by law; (e) access the Services to build a competitive product or service or copy features or user interfaces; (f) resell, lease, or provide the Services on a standalone basis to third parties; (g) use hidden text or metatags using Pidj.co names or marks; (h) remove proprietary notices; (i) bypass security controls; (j) upload malware; (k) damage, disrupt, or interfere with the Services; or (l) violate intellectual property or other rights or law.
7. Unauthorized Applications
The Services are not designed for, and you will not use them in, life support, nuclear facilities, aircraft navigation/communication, air traffic control, weapons systems, military/space requiring radiation hardening, or Enhanced 911/E911 emergency calling systems.
8. Content; Monitoring
8.1 Responsibility. You are solely responsible for Your Content and communications. All information transmitted through the Services is the responsibility of the party from whom such content originated.
8.2 Monitoring. We have no obligation to pre‑screen content but may monitor, remove, or refuse content to enforce these Terms, the AUP, or Applicable Law. You consent to such monitoring to the extent permitted by law and acknowledge you have no expectation of privacy in transmissions through the Services.
9. Trials & Promotions
Any free trial or promotion must be used within the allotted period. Unless otherwise stated, at the end of the trial your subscription will automatically convert to a paid plan unless you cancel before the trial ends. Fair‑use limits may apply. You are responsible for charges incurred via your Account.
10. Equipment & Connectivity
You are responsible for obtaining and maintaining all equipment, software, and connectivity necessary to use the Services and for associated charges. Service failures due to third‑party networks or internet outages are outside our control.
11. Export Controls & Sanctions
You will comply with applicable U.S. and international export control and sanctions laws. You represent that you are not on any U.S. government sanctions or exclusion lists and are not located in an embargoed country.
12. Subscription Term, Fees & Payment
12.1 Generally (Required Electronic Payment Method). Fees are due as stated on your invoice or Order Form. Undisputed late amounts may accrue interest at 1% per month or the maximum permitted by law.
You must maintain an active Automated Clearing House (ACH) electronic bank transfer account or a valid credit card (each, an “Electronic Payment Method”) on file at all times. You authorize Pidj.co to automatically charge your Electronic Payment Method for all recurring subscription fees, usage‑based charges, taxes, surcharges, recovery fees, regulatory fees, Early Termination Fees, late fees, and any other amounts owed under this Agreement.
If your Electronic Payment Method fails, becomes invalid, or is removed, Pidj.co may restrict or suspend access to the Services until a valid payment method is restored and all outstanding balances are paid. Restoration of service does not waive Pidj.co’s right to collect full payment.
You agree to keep your billing and payment information current at all times.
12.2 Service Subscription Fees. Fees may include activation fees; recurring subscription fees; per‑message fees (e.g., SMS/MMS); per‑number fees; overage fees; and other usage‑based or feature‑based fees, as applicable. Except as expressly stated, fees are non‑refundable.
12.3 Automatic Renewal. Your subscription automatically renews for successive periods equal to the Initial Subscription Period (each a “Renewal Term”), unless canceled in accordance with Section 18.2. You authorize us to charge your payment method at renewal.
12.4 Changes to Fees, Pricing, and Recovery Charges. Pidj.co may modify its pricing, fees, or rate structures upon at least forty‑five (45) days’ prior written notice (email, in‑product notice, or website posting). Changes become effective at the start of the next Renewal Term unless otherwise agreed in writing. In addition, Pidj.co may impose or pass through Recovery Fees to offset increases in carrier, aggregator, regulatory, or compliance‑related costs (including, without limitation, 10DLC registration and campaign vetting fees, TCR fees, carrier surcharges, regulatory or governmental assessments). Recovery Fees may be adjusted from time to time to reflect actual cost changes and may be applied during a current term with notice.
12.5 Cancellation/Reduction. You are responsible for the fees for the full subscription period. If you cancel during the term, the remaining balance for the term becomes immediately due. If you reduce Services during a term, you remain responsible for the contracted fees unless otherwise agreed in writing. Access ends at the end of the then‑current paid period; no prorated refunds.
12.6 Number Porting & Carrier Changes. Changing carriers or porting voice service may disrupt texting routes; this is outside our control. You remain responsible for charges notwithstanding such disruption.
12.7 Taxes and Recovery Fees. Fees are exclusive of taxes, levies, duties, regulatory fees, recovery fees, and similar governmental or carrier‑imposed assessments (collectively, “Taxes and Recovery Fees”), including, without limitation, sales/use taxes, universal service fund fees, carrier surcharges, and 10DLC/TCR charges. If applicable, you will pay such amounts in addition to the stated fees. We may collect and remit where required. Taxes measured by our net income are excluded.
12.8 Pricing Adjustments for Compliance or Market Conditions. Pidj.co may adjust pricing or introduce new fees during a term when required by material changes in carrier costs, compliance regulations, or third‑party vendor pricing that materially affect the cost of delivering the Services. We will provide at least thirty (30) days’ prior written notice; adjustments take effect on the date specified in the notice.
13. Ownership & Confidentiality
13.1 Ownership. As between the parties, each party retains ownership of its respective materials and Confidential Information.
13.2 Confidential Information. “Confidential Information” is information designated confidential or that reasonably should be understood as confidential. It excludes information that is publicly available through no fault, already known without restriction, rightfully received from a third party, or independently developed without reference to the other party’s Confidential Information. Each party will use the other’s Confidential Information only to perform under these Terms, protect it with reasonable care, and disclose it only to personnel and subcontractors who have a need to know and are bound by confidentiality obligations at least as protective.
13.3 Injunctive Relief. Breach of confidentiality may cause irreparable harm; the non‑breaching party may seek injunctive relief in addition to other remedies.
14. Enforcement, Violations & Remedies
We may investigate suspected violations and disclose information where legally permissible to law enforcement or regulators. We may warn, suspend, or terminate access; remove content; or take other actions we deem appropriate to protect the Services and third parties.
15. Warranties & Disclaimers
15.1 AS IS. EXCEPT FOR EXPRESS WARRANTIES STATED IN AN ORDER FORM, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PIDJ.CO DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
15.2 No Guaranteed Results. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS; BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR‑FREE; THAT RESULTS WILL BE ACCURATE OR RELIABLE; OR THAT ERRORS WILL BE CORRECTED.
15.3 Message Delivery and Service Availability. Messaging and email delivery depend on carriers, aggregators, internet service providers, and other third parties outside Pidj.co’s control. The Services may be subject to delays, throttling, filtering, non‑delivery, or other interruptions due to carrier policies (including A2P/10DLC and spam filtering), network congestion or outages, or message content review. PIDJ.CO MAKES NO WARRANTY OR REPRESENTATION THAT ANY MESSAGE WILL BE DELIVERED TO ITS INTENDED RECIPIENT ON TIME OR AT ALL. Pidj.co is not liable for delays or non‑delivery except to the extent caused solely by a verified failure in Pidj.co’s own software. Connectivity, features, or delivery capabilities may vary and are subject to change without notice.
15.4 Third‑Party Conduct. You agree that Pidj.co is not responsible or liable for the conduct of third parties, including telecommunications providers and carriers.
15.5 Unencrypted Transmission. Your Content may be transmitted via unencrypted methods over third‑party networks.
16. Indemnification
You will defend, indemnify, and hold harmless Pidj.co and its affiliates and their officers, directors, and employees from and against any claim, loss, liability, and expense (including reasonable attorneys’ fees) arising out of or relating to: (a) Your Content; (b) your use of or inability to use the Services; (c) your violation of these Terms, the AUP, or law; or (d) your numbers, consents, or disclosures.
17. Limitation of Liability
EXCEPT FOR LIABILITY ARISING FROM (i) YOUR PAYMENT OBLIGATIONS; (ii) YOUR VIOLATIONS OF SECTION 6 (RESTRICTIONS), SECTION 13 (CONFIDENTIALITY), OR SECTION 16 (INDEMNIFICATION); OR (iii) YOUR INFRINGEMENT OF PIDJ.CO’S INTELLECTUAL PROPERTY, IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
EXCEPT FOR THE SPECIFIC EXCEPTIONS ABOVE, PIDJ.CO’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO PIDJ.CO FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) $500. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; SOME LIMITATIONS MAY NOT APPLY TO YOU.
EMERGENCY SERVICES: THE SERVICES DO NOT SUPPORT EMERGENCY CALLS OR MESSAGES. PIDJ.CO WILL HAVE NO LIABILITY FOR ANY FAILURE OR INABILITY TO CONTACT EMERGENCY SERVICES.
18. Term; Termination & Suspension
18.1 Term. The term begins on the Subscription Term Start Date and continues through the Initial Subscription Period and any Renewal Terms unless terminated as provided herein.
18.2 Termination by You. You may terminate effective at the end of the then‑current subscription period by providing at least thirty (30) days’ prior written notice to support@pidj.co. Early termination does not relieve payment obligations for the then‑current term.
18.3 Suspension or Termination by Us. We may suspend or terminate immediately upon notice if: (a) you violate the AUP or Applicable Law; (b) your use is fraudulent, abusive, or materially degrades the Services; (c) providing Services is prohibited by law or impracticable for legal or regulatory reasons; or (d) you undergo bankruptcy, liquidation, assignment for the benefit of creditors, cessation of business, or similar event.
18.4 Effect. Upon termination, your rights to access the Services end and we may delete information associated with your Account from live systems. We are not liable for deletion. Sections intended to survive (including payment obligations, confidentiality, IP, disclaimers, indemnities, limitations, and general terms) will survive.
19. International Use
The Services are offered from the United States and are currently made available to customers in the U.S. Access from other jurisdictions is at your own risk and responsibility for compliance with local law.
20. General
20.1 No Waiver. Our failure to enforce a provision is not a waiver. Waivers must be in writing and signed.
20.2 Assignment. You may not assign or transfer these Terms (by law or otherwise) without our prior written consent. Any prohibited assignment is void. We may assign these Terms. These Terms bind permitted successors and assigns.
20.3 Relationship. The parties are independent contractors. No agency, partnership, joint venture, or franchise is created.
20.4 Severability. If any provision is unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remainder will remain in effect.
20.5 Notices. Provide notices to: PidjCo, LLC, 280 E 1st Ave, #203, Broomfield, CO 80020, and support@pidj.co. We may provide notices to the email associated with your Account, in‑product, or via posting.
20.6 Entire Agreement. These Terms, the AUP, Privacy Policy, and any Order Form comprise the entire agreement and supersede prior or contemporaneous agreements regarding the Services.
20.7 Release. You release Pidj.co and its officers, directors, and employees from claims arising from your use of the Services or interactions with others through the Services, to the fullest extent permitted by law. If you are a California resident, you waive California Civil Code § 1542.
20.8 Electronic Communications. You consent to receive communications electronically and agree electronic communications satisfy any legal requirement that such communications be in writing.
20.9 Force Majeure. Neither party is liable for delay or failure to perform (other than payment obligations) due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, carrier or network outages, aggregator interruptions, governmental orders or regulatory changes, DDoS or other attacks, or power/internet failures. The affected party will use commercially reasonable efforts to mitigate.
20.10 Governing Law; Venue. Colorado law governs, without regard to conflict of laws rules. The parties consent to exclusive jurisdiction and venue in the state or federal courts located in Denver County, Colorado.
20.11 Waiver of Jury Trial. THE PARTIES WAIVE THE RIGHT TO A JURY TRIAL.
20.12 Class Action Waiver. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A CLASS OR REPRESENTATIVE ACTION, AND MAY NOT BE CONSOLIDATED WITH OTHERS’ CLAIMS.
20.13 Limitations Period. ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES OR IS PERMANENTLY BARRED.

Appendix A: Messaging Terms & Conditions
Overview. By subscribing to our messaging services, you consent to receive automated and/or non‑automated informational and promotional text messages. Message frequency varies. Your consent to receive messages is not a condition of purchase.
Carrier & Delivery. Mobile carriers and aggregators are not liable for delayed or undelivered messages. Delivery timing and success may be affected by carrier policies (including A2P/10DLC), spam filtering, network conditions, handset settings, and message content. Pidj.co does not guarantee delivery and is not responsible for delays or non‑delivery except to the extent caused solely by a verified failure in Pidj.co’s own software.
Message & Data Rates. Standard message and data rates may apply.
Opt‑Out. Reply STOP to any message to opt out. You will receive a confirmation message. To resume, text UNSTOP (if supported by your carrier) or opt‑in through your original method.
Help. Reply HELP for help or contact support@pidj.co.
Sender IDs. We may modify the long code, short code, toll‑free number, alphanumeric sender ID, or other originators used to send messages.
Program Changes. We may change or discontinue the messaging program at any time. Updates take effect upon posting or notice. Continued use indicates acceptance.
Privacy. See our Privacy Policy at https://www.pidj.co/privacy.
Appendix B: Acceptable Use Policy (Summary)
This summary highlights key prohibitions; the full AUP controls. You will not use the Services to: (a) send messages without valid consent or required disclosures; (b) violate TCPA, CAN‑SPAM, CASL, CTIA/carrier rules, or similar; (c) send illegal, harmful, deceptive, harassing, or infringing content; (d) send phishing, malware, or spam; (e) attempt to bypass filters, throughput limits, or authentication; or (f) engage in activities that interfere with or degrade the Services. We may block, rate‑limit, or suspend accounts to protect recipients, carriers, and the platform.
